These Terms of Service ("Terms") govern your access to and use of ForgeOps AI (the "Service"), operated by Caden Marinacci and Dane Hogue ("we," "us," or "ForgeOps AI"). By creating an account or using the Service, you agree to these Terms. If you're using the Service on behalf of a company, you're agreeing on that company's behalf and confirming you have the authority to do so.
ForgeOps AI is a business-operations platform for trade companies, providing tools including customer/CRM management, project and task tracking, invoicing, calendar and document management, and AI-assisted features ("Agents") that draft communications, score risk, and summarize information based on your data. Some features integrate with third-party services (QuickBooks Online, Gmail) at your option.
Certain features require a paid subscription. By subscribing, you agree to pay the fees for your selected plan. Fees are billed in advance on a recurring basis and are non-refundable except as required by law or as we otherwise state at the time of purchase. We may change our pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new pricing.
As between you and us, you (and/or your company) own all data you enter into, upload to, or connect to the Service — including customer records, invoices, documents, and any data synced in from QuickBooks or Gmail ("Your Data"). We do not claim ownership over Your Data. You grant us a limited license to host, process, and display Your Data solely as necessary to provide the Service to you (including sending relevant content to sub-processors as described in our Privacy Policy).
You're responsible for ensuring you have the necessary rights and permissions to enter your customers' personal information into the Service, and for your own compliance with any laws that apply to how you collect and use that data.
The Service uses AI (via Anthropic's Claude API) to draft emails, summarize messages, and generate risk/health scores and other suggestions. AI-generated content may be inaccurate, incomplete, or inappropriate for your specific situation. You are solely responsible for reviewing any AI-drafted communication or suggestion before relying on it, sending it, or acting on it. Sensitive or financially consequential actions (such as sending a payment reminder) require your explicit approval before anything is sent — the Service does not send AI-drafted communications automatically unless you have specifically enabled that behavior for a given feature.
If you connect QuickBooks Online, Gmail, or any other third-party service, that use is also governed by the applicable third party's own terms of service and privacy policy. We are not responsible for the availability, accuracy, or conduct of third-party services, or for any changes those providers make to their own APIs or terms that affect functionality within ForgeOps AI. You can disconnect any integration at any time from Settings.

Aside from Your Data, the Service — including its software, design, and branding — is owned by us and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or branding.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Data, or your violation of these Terms.
You may cancel your account at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, engage in abusive or unlawful use, or fail to pay applicable fees. Upon termination, your right to use the Service ends immediately; Section 4 (data ownership) and reasonable data-export/deletion rights survive termination as described in our Privacy Policy.
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles, unless otherwise required by applicable law.
We may update these Terms from time to time. If we make material changes, we'll provide notice (such as posting an update here with a new effective date, or emailing account holders). Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
